1 Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of the website, services, training programs, and clinical care offered by Favored Healthcare Services ("we," "us," "our," or the "Agency"), including the John-Florence Clinic & Lab in Lagos, Nigeria. By accessing this website, requesting a service, scheduling an appointment, or otherwise interacting with us, you agree to be bound by these Terms. If you do not agree, you should not use our services.
These Terms apply to clients, prospective clients, caregivers, students, family members, referring providers, and any visitor to this website.
2 Scope of Services
We provide non-medical home care, skilled nursing care, training and certification, and primary clinical services through the following channels:
- Private Home Care, Skilled Nursing, Companion Sitter, and Home Care Aide services delivered in client residences across 32 Georgia counties.
- Certified Nursing Assistant (CNA), CPR, BLS, AED, First Aid, and Infection Control training programs.
- Primary care, chronic disease management, and laboratory services delivered through the John-Florence Clinic & Lab in Yaba, Lagos, Nigeria.
The Agency is licensed by the Georgia Department of Community Health (DCH). Services in Nigeria are provided under applicable Nigerian healthcare regulations and the licensing authority of the Lagos State Ministry of Health.
3 Care Services and Care Plans
Home care services are delivered pursuant to an individualized Care Plan developed by a Registered Nurse following an initial assessment. The Care Plan documents the scope, frequency, duration, and goals of care, as well as any limitations on services. Care Plans are reviewed and revised at regular intervals or whenever the client's condition changes.
Caregiving services are not a substitute for emergency medical care. In a medical emergency, call 911 (United States) or 112 (Nigeria) immediately. Do not contact the Agency for emergency response.
4 Eligibility and Consent
Clients must consent in writing to the provision of care, the Care Plan, and the sharing of information necessary to coordinate care. If a client is unable to consent, consent may be provided by a legal guardian, durable power of attorney for health care, or other legally authorized representative.
For training programs, students must meet program prerequisites, pass any required background checks, and provide truthful enrollment information. Misrepresentation may result in removal from the program without refund.
5 Payment, Billing, and Accepted Coverage
We accept Private Insurance, Medicaid, Medicare, the Community Care Services Program (CCSP), the Service Options Using Resources in a Community Environment (SOURCE) waiver, and Private Pay. Specific covered services depend on the client's coverage and may be subject to copays, deductibles, prior authorization, and other limitations imposed by the payer.
Self-pay rates are provided in writing before services begin. Invoices are due upon receipt unless otherwise stated. Past-due balances may result in suspension or termination of services, the imposition of late fees consistent with Georgia and Nigerian law, and referral to a collection agency.
For services provided in Nigeria, payment is denominated in Nigerian Naira (NGN) or US Dollars (USD) at the prevailing exchange rate set at the time of invoice. The Agency may revise published rates from time to time with reasonable advance notice.
6 Cancellation and Refund Policy
Clients may cancel a scheduled visit by providing at least 24 hours' notice. Cancellations with less than 24 hours' notice may be subject to a cancellation fee equal to the standard visit rate, except where the cancellation is caused by emergency hospitalization or other circumstances beyond the client's reasonable control.
Tuition and fees for training programs are refundable in accordance with the published refund schedule for each program. After classroom instruction begins, refunds are pro-rated according to that schedule. Books, supplies, and certification fees paid to third parties are not refundable once issued.
7 Caregiver Conduct, Safety, and Home Environment
The client agrees to provide a safe working environment for caregivers, including reasonable access to the home, freedom from harassment or abuse, and the absence of unrestrained pets, firearms, hazardous conditions, or any threat to caregiver health and safety. We reserve the right to suspend or terminate services if a caregiver's safety cannot be reasonably assured.
Caregivers may not accept gifts, loans, or gratuities from clients beyond nominal items. Caregivers may not be added as beneficiaries, executors, or trustees on any client document. Violations of these standards should be reported to the Agency immediately.
8 Privacy, HIPAA, and Nigerian Data Protection
Protected health information (PHI) collected in the course of providing care is handled in accordance with the Health Insurance Portability and Accountability Act of 1996 (HIPAA), where applicable, and with our Privacy Policy. For services delivered in Nigeria, personal data is processed in accordance with the Nigeria Data Protection Regulation (NDPR), the Nigeria Data Protection Act 2023, and any subsequent successor regulations.
We do not sell personal data. We may share data with care team members, payers, government agencies, and other parties only as necessary to deliver care, satisfy legal obligations, or with the client's consent. See our Privacy Policy for full details.
9 Website Use, Intellectual Property, and Acceptable Use
All content on this website, including text, images, logos, graphics, layout, and code, is the property of the Agency or its licensors and is protected by United States, Nigerian, and international copyright, trademark, and trade dress laws. You may not reproduce, distribute, or create derivative works from this content without express written permission.
You agree to use this website only for lawful purposes. You agree not to: (a) attempt unauthorized access to any portion of the site, (b) introduce malicious software, (c) scrape data using automated means without permission, (d) impersonate any other person or misrepresent your affiliation, or (e) use the chatbot or any form to send abusive, threatening, or unlawful content.
10 Third-Party Services and Links
This website may include links to third-party services (for example, Google Maps, Cloudflare, Brevo, ElfSight, payment processors, and learning management systems). The Agency is not responsible for the content, terms, or privacy practices of any third-party service. Use of those services is subject to the third party's own terms and policies.

13 Limitation of Liability
To the maximum extent permitted by law, the Agency, its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the site or our services, even if advised of the possibility of such damages. The total aggregate liability of the Agency for any claim arising out of or relating to your use of the site, including but not limited to the services provided through it, shall not exceed the amounts you paid to the Agency for the specific service giving rise to the claim within the six (6) months immediately preceding the claim.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable Georgia or Nigerian law, including liability for personal injury arising from gross negligence or willful misconduct.
14 Indemnification
You agree to indemnify, defend, and hold harmless the Agency from and against any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the site or services in violation of these Terms, (b) your violation of any law or third-party right, or (c) any content you submit through the site or our forms.
15 Governing Law and Venue (United States Operations)
For services provided in the United States and for use of this website from within the United States, these Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of our services shall be brought exclusively in the state or federal courts located in Gwinnett County, Georgia, and you consent to the personal jurisdiction of those courts.
16 Governing Law and Venue (Nigeria Operations)
For services provided in Nigeria through the John-Florence Clinic & Lab, these Terms are governed by the laws of the Federal Republic of Nigeria, including the Nigeria Data Protection Act 2023, the Federal Competition and Consumer Protection Act 2018, and applicable Lagos State health regulations. Disputes arising in Nigeria shall be brought in the appropriate courts of Lagos State, Nigeria.
Where a dispute crosses jurisdictions, the parties agree to first attempt good-faith resolution through direct negotiation before pursuing formal proceedings in either jurisdiction.
17 Consumer Rights Notice (Nigeria)
For clients receiving services in Nigeria, nothing in these Terms shall be construed to limit any non-waivable consumer protection right under the Federal Competition and Consumer Protection Act 2018 or applicable Lagos State law. Where any provision of these Terms is in conflict with a non-waivable consumer right, that consumer right prevails.
18 Modifications to These Terms
We may revise these Terms at any time by updating this page. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be communicated to existing clients via email or written notice. Continued use of our services after a revision takes effect constitutes acceptance of the revised Terms.
19 Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect, and the invalid provision shall be enforced to the maximum extent permitted by law. These Terms, together with our Privacy Policy and any written agreement between you and the Agency, constitute the entire agreement regarding your use of our services.
20 Termination of Services
Either party may end services in accordance with any written service agreement between you and the Agency. We may suspend or terminate services for reasons including non-payment, a safety risk to caregivers, a client's failure to follow the Care Plan, or conduct that makes continued care impracticable. Whenever it is reasonably possible, we will give advance notice and, where care is being withdrawn, help arrange for continuity of care.
We may also suspend or terminate your access to this website at any time if you violate these Terms. Provisions that by their nature should survive termination, including sections on intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply after services or access end.
21 Force Majeure
The Agency is not liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic or pandemic, public health emergencies, government orders, labor disruptions, utility or telecommunications failures, or interruptions to internet or third-party services. Where such an event affects care, we will make reasonable efforts to minimize the disruption and to resume services as soon as it is safe and practical to do so.
22 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, to a successor in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate, provided that your rights under these Terms are not materially reduced. These Terms bind and benefit the parties and their permitted successors and assigns.
23 Electronic Communications and Consent
When you use this website or contact us electronically, you consent to receive communications from us in electronic form, such as email or messages through the site, and you agree that electronic communications satisfy any legal requirement that a communication be in writing. Where permitted by law, an electronic signature, click-to-accept, or similar action carries the same effect as a handwritten signature. This section does not change how we handle Protected Health Information, which is governed by HIPAA and our Privacy Policy.
24 Feedback and Testimonials
If you send us feedback, suggestions, or ideas about our services or website, you agree that we may use them without restriction or obligation to you. If you provide a review or testimonial, you grant us permission to display it in our marketing, and we will not publish your full name or any identifying health information without your consent. You can ask us to remove a testimonial you have provided at any time by contacting us.
